Unilever share buyback programme 2023
On 10 February 2022, Unilever PLC announced its 2021 Full Year results and a share buyback programme of up to €3 billion to be completed over 2022-2023. The purpose of the share buyback programme is to reduce the capital of Unilever PLC within the limitations of the authorities approved by shareholders.
On 23 March 2022, Unilever announced the commencement of the first tranche of the buyback programme (the “Initial Programme”) for an aggregate market value equivalent to €750,000,000, to be bought back in the form of Unilever PLC ordinary shares. The Initial Programme closed on 22 July 2022. 17,802,472 ordinary shares were purchased under the Initial Programme between 23 March 2022 and 22 July 2022. Unilever entered into non-discretionary instructions with HSBC Bank plc to conduct the Initial Programme on its behalf and to make trading decisions under the Initial Programme independently of Unilever.
On 6 September 2022, Unilever announced the commencement of the Second Tranche of the buyback programme for an aggregate market value equivalent to €750,000,000. The Second Tranche closed on 19 December 2022. A total of 16,415,133 ordinary shares were purchased in the Second Tranche. Unilever entered into non-discretionary instructions with Morgan Stanley & Co. International PLC to conduct the buyback programme for the Second Tranche on its behalf and to make trading decisions independently of Unilever.
On 17 March 2023, Unilever announced the commencement of the Third Tranche of the buyback programme for an aggregate market value equivalent to €750,000,000. The Third Tranche closed on 2 June 2023. A total of 15,552,684 ordinary shares were purchased in the Third Tranche. Unilever has entered into non-discretionary instructions with EXANE SA (a wholly owned subsidiary of BNP Paribas SA) to conduct the Third Tranche on its behalf and to make trading decisions under the Third Tranche independently of Unilever.
On 8 September 2023, Unilever announced the commencement of the Fourth Tranche of the buyback programme for an aggregate market value equivalent to €750,000,000. The Fourth Tranche closed on 17 October 2023. A total of 16,181,572 ordinary shares were purchased in the Fourth Tranche. Unilever entered into non-discretionary instructions with Merrill Lynch International to conduct the Fourth Tranche on its behalf and to make trading decisions under the Fourth Tranche independently of Unilever.
